Terms of Use

Effective August 7, 2026

These Terms of Use (“Terms”) are an agreement between you and Vidi Interactive, Inc. (“Vidi,” “we,” “us”) governing the Vidi mobile app and watchvidi.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you don’t agree, please don’t use the Service.

1. Who can use Vidi

Vidi contains mature romantic themes. Wherever the Service is offered, it is available only to users 18 or older and legally adults where they live. By confirming your age, creating an account, or using the Service, you represent that you meet both requirements and are legally able to enter these Terms. If we learn that an account belongs to someone who is ineligible, we may suspend and delete it, subject to applicable law.

Titles may include sexual themes, relationship conflict, strong language, violence, distressing situations, and other mature fictional material. Content descriptors and age ratings are informational and do not guarantee that every title will be suitable for you. Vidi is entertainment, not a dating, companionship, therapy, crisis, medical, legal, or financial service.

2. Your account

You sign in with your Apple or Google account. You’re responsible for activity on your account and for keeping access to it secure. One account per person; accounts are personal and non-transferable. You can delete your account at any time in the app (Profile → Delete account) — see the Privacy Policy for what deletion covers.

3. Your license to use the Service

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app and stream content for your own private, non-commercial entertainment on supported devices you own or control, subject to these Terms and the rules of the marketplace through which you obtained the app. On Apple devices, the license also permits access through Family Sharing or volume purchasing where allowed by Apple’s Usage Rules. Content is licensed to stream, not sold or downloadable.

4. AI-generated content

Vidi’s audiovisual stories are fictional entertainment productions created through substantial use of generative-AI systems together with human writing, direction, selection, editing, and review:

• Images, video, voices, sound, and other elements may be generated or materially modified with AI models from scripts and reference material selected or created by Vidi.
• Except where Vidi expressly identifies an authorized portrayal, characters and events are fictional and are not intended to report real events or represent, impersonate, or imply endorsement by an identifiable real person.
• AI-assisted media can contain artifacts, inconsistencies, or unintended similarities. It should not be treated as factual information, authentic footage or recordings, or professional advice.
• Content includes mature romantic themes intended for the age ratings above.

Vidi provides disclosures, labels, or machine-readable information concerning AI-generated or manipulated media where applicable law requires them.

5. Coins

Coins are a limited, personal, revocable, non-transferable virtual entitlement for unlocking eligible content or features inside Vidi. Purchasing or earning Coins does not transfer ownership of content or create a deposit, stored-value account, property right, or monetary instrument. Coins are not money: they have no cash value and cannot be redeemed, exchanged, transferred, sold, or used outside the Service. Purchased Coins do not expire solely from inactivity. Promotional Coins may expire only if the applicable promotion clearly says so. We may change future Coin-pack prices, earn rates, and unlock costs, but will not reduce valid Purchased Coins solely because of such a change. We may correct ledger or technical errors and withhold or reverse Coins associated with refunds, chargebacks, duplicate grants, fraud, abuse, legal requirements, or a material breach of these Terms. Deleting your account forfeits unused Coins, subject to mandatory law. If Vidi permanently ends the Coin program without your breach, we will provide a reasonable opportunity to use remaining valid Purchased Coins or another remedy required by law. Purchases are final except where applicable law or the marketplace’s refund policy provides otherwise.

6. Membership subscriptions

Vidi may offer optional auto-renewing memberships that provide the benefits identified on the purchase screen, such as access to the then-available eligible catalog and an ad-free experience while the membership is active. Titles, catalog size, and benefits may change, but we will not use that right to deprive you of material paid value without any notice or remedy required by law. Purchases are processed by Apple App Store or Google Play, depending on your device:

• Before you confirm, the purchase screen displays the billing period, price, currency, renewal terms, any introductory offer or trial, and whether taxes are included or added. Trial and introductory-offer eligibility is determined under marketplace rules. Payment is charged to your marketplace account when you confirm the purchase.
• Subscriptions renew automatically for the period and at the price shown at purchase unless canceled before renewal. Introductory offers convert to the disclosed standard price unless canceled. If a renewal price changes, the marketplace or Vidi will provide the notice, consent opportunity, and cancellation rights required by marketplace rules and applicable law; the new price applies only to a future renewal.
• Manage, restore, or cancel through the marketplace account used to make the purchase. Canceling stops future renewal and ordinarily takes effect at the end of the current paid period; it does not itself create a right to a prorated refund except where marketplace rules or applicable law provide one. Deleting the app or your Vidi account does not cancel marketplace billing.
• Refunds are handled by the marketplace under its policies. Apple users may visit reportaproblem.apple.com; Google Play users may use Google Play order history or support. Marketplace handling does not limit mandatory rights you may have against Vidi.

7. Rewarded ads

You may voluntarily watch third-party ads to earn the Coin reward shown before the ad begins. Declining personalized advertising does not reduce the promised reward; where available, Vidi may instead show limited or non-personalized ads. Rewards, frequency limits, and ad availability may change prospectively, and no particular ad or fill rate is guaranteed. We verify completed ad views server-side and may withhold or reverse Coins for incomplete, duplicate, automated, manipulated, or fraudulent activity. Ads and linked products or services are provided by third parties; their presence is not Vidi’s endorsement. Any interaction or transaction with an advertiser may be governed by the advertiser’s terms and privacy practices.

8. Story choices

At decision points, your choice determines which episode plays next. Branches are served from a shared library: everyone who makes the same choice sees the same pre-generated episode. Choices may be stored on your device and, where account synchronization is enabled, associated with your account. They are not publicly attributed to you. Choices are part of the entertainment experience and carry no real-world meaning or reward.

9. Acceptable use

You agree not to:

• Copy, download, redistribute, publicly perform, or commercially exploit content from the Service without permission, or circumvent (or try to circumvent) our content protection, signed URLs, paywall, or coin economy, except as applicable law permits;
• Use bots, scripts, scraping, or automated access; probe or disrupt our systems; or reverse-engineer, decompile, or modify the app except where the law expressly permits;
• Defraud or abuse purchases, refunds, ads, promotions, or streak/reward mechanics, or misrepresent your age;
• Share, sell, buy, or transfer an account; introduce malware; bypass rate limits, geoblocks, access restrictions, AI labels, provenance metadata, or rights notices; or frame, mirror, or bulk-extract the Service;
• Use Service content or data to train or benchmark a competing model or service without permission, exploit a vulnerability, impersonate Vidi, violate another person’s privacy, publicity, voice, likeness, or intellectual-property rights, or help another person do any prohibited act;
• Use the Service for any unlawful purpose or in violation of applicable marketplace terms.

We may suspend or terminate accounts that violate this section. These restrictions do not prohibit security research, reverse engineering, interoperability work, quotation, criticism, or other activity to the extent applicable law expressly makes the restriction unenforceable.

10. Intellectual property

Vidi and its licensors own or license rights in the Service and its content, including copyrightable human-authored scripts, selection, arrangement, edits, software, branding, and other protected elements, to the extent recognized by law. No rights are granted except the license in Section 3. If you voluntarily send feedback or ideas that you have the right to provide, you grant Vidi a worldwide, transferable, sublicensable, royalty-free license to use them without obligation to you. To report alleged copyright, trademark, likeness, voice, impersonation, or other rights concerns, email support@watchvidi.com.

11. Changes to the Service and these Terms

Vidi is an evolving service: we may add, change, or remove content and features. We will provide reasonable advance notice of materially adverse changes to paid features, Coin mechanics, pricing, or these Terms, except when immediate action is reasonably necessary for security, legal, fraud-prevention, or technical reasons. Where required by law, we will request affirmative consent or provide a right to cancel and an applicable remedy. Continuing to use the Service after properly notified changes take effect means you accept them to the extent permitted by law.

For a continuously supplied paid digital service, if a modification negatively affects your access or use beyond a minor degree and is not necessary to maintain conformity, security, or legal compliance, we will provide advance notice on a durable medium explaining the modification, its timing, and any right to terminate without charge where applicable law requires. Nothing in this section limits statutory rights to conformity, updates, repair, replacement performance, price reduction, refund, or termination.

12. Termination

You can stop using Vidi or delete your account at any time. We may suspend or terminate your access immediately for fraud, security threats, payment abuse, serious violations, or legal necessity. For other remediable violations, we will ordinarily provide notice and a reasonable opportunity to cure. If we discontinue the Service or terminate access without your breach, we will provide any notice, spend-down period, refund, or other remedy required by law. Accrued rights and provisions concerning Coins and refunds, intellectual property, disclaimers, liability, indemnification, disputes, storefront terms, and general terms survive to the extent their nature requires.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VIDI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR CONTENT WILL REMAIN AVAILABLE. Some jurisdictions don’t allow certain warranty exclusions, so parts of this section may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIDI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, GOODWILL, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) FIFTY U.S. DOLLARS ($50). Some jurisdictions don’t allow these limits, so they may not fully apply to you. Nothing in these Terms limits liability or remedies that cannot lawfully be excluded, including liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer and privacy rights.

15. Indemnification

To the extent permitted by law, you agree to indemnify Vidi against third-party claims, damages, and reasonable expenses arising from your unlawful conduct or material breach of these Terms. Vidi will give reasonable notice of a covered claim and control its defense, while reasonably considering your interests.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except that this choice does not deprive a consumer of mandatory protections provided by the law of the consumer’s habitual residence. You may contact support@watchvidi.com to seek informal resolution, but doing so is optional, is not a prerequisite to filing a claim, and does not shorten or pause any limitation period unless we agree in writing. For claims involving a consumer, jurisdiction and venue are determined by applicable mandatory law. For all other claims, each party consents to exclusive jurisdiction in the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware.

17. Apple App Store terms

These Terms are between you and Vidi only, not Apple Inc.; Vidi is solely responsible for the app, its content, maintenance, and support. Apple has no obligation to provide maintenance or support. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the app’s purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Vidi, not Apple, is responsible for claims concerning the app, including product liability, legal or regulatory compliance, consumer protection, privacy, and third-party intellectual property claims. You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist-supporting” country, and are not listed on any U.S. Government list of prohibited or restricted parties. You must comply with applicable third-party agreements, including wireless-data terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon acceptance, may enforce them against you.

18. Google Play terms

If you obtained Vidi through Google Play, your use is also subject to Google Play’s terms. Google is not responsible for Vidi or for providing support. Purchases, subscriptions, cancellations, and refunds are administered through Google Play subject to its rules and applicable law. Marketplace terms govern your relationship with the marketplace; these Terms govern your relationship with Vidi. If an applicable marketplace term conflicts with these Terms, the marketplace term controls only to the extent of that conflict and only as to matters governed by the marketplace.

19. Regional consumer rights

European Economic Area. You retain all mandatory rights under the law of your country of residence, including rights concerning supply, conformity, updates, remedies, and modifications of digital content and services. Distance contracts may carry a withdrawal right. For digital content supplied immediately, that right may end after you expressly consent to immediate supply and acknowledge the resulting loss of the right; these Terms alone do not provide that purchase-flow consent.

United Kingdom. Nothing in these Terms excludes statutory rights concerning digital content or services, including rights that content be as described, fit for purpose, and of satisfactory quality, or any remedy that cannot lawfully be excluded.

Australia. The Service comes with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies those guarantees or available remedies.

Brazil. Nothing in these Terms excludes rights under the Consumer Defense Code, including any applicable withdrawal right for a qualifying distance contract and mandatory rights to refund or remedy. Users elsewhere retain any non-waivable consumer rights available where they live.

20. Territory availability and trade controls

The Service is controlled from the United States and is offered only in territories that Vidi elects and is legally permitted to serve. Availability of the Service, particular titles, purchases, advertising, or features may vary by territory. You may not access, purchase, export, re-export, transfer, or use the Service in violation of applicable export controls, economic sanctions, or trade restrictions, or for the benefit of a person or entity subject to applicable blocking or restricted-party rules. You may not use a proxy, false information, or another person’s account to evade a territorial or legal restriction. We may restrict or suspend access where reasonably necessary to comply with law, marketplace requirements, or binding governmental orders, subject to any notice, refund, or other rights applicable law requires.

21. Third-party services

The Service may interoperate with or contain links, content, advertising, authentication, payment, device, or other services provided by third parties. Your use of a third-party service may be governed by that provider’s terms and privacy policy. Vidi does not control third-party services and is not responsible for their independent acts, content, or availability, but this does not reduce any responsibility Vidi has under applicable law for selecting, integrating, or using providers in connection with the Service. Standard carrier, internet, and device charges may apply.

22. Notices and electronic communications

We may provide operational or legal notices through the Service, at the email address associated with your account, or by another method reasonably designed to reach you. You are responsible for keeping account contact information current. A notice takes effect when delivered, except where applicable law requires a different method or timing. Marketing communications are optional and governed by the choices and rights described in the Privacy Policy.

23. General terms

These Terms and any incorporated notices are the entire agreement about the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; Vidi may transfer them in connection with a merger, financing, reorganization, or sale of the Service if the successor assumes Vidi’s applicable obligations and the transfer does not reduce mandatory consumer rights. Vidi is not responsible for delay or failure of performance caused by events beyond its reasonable control, but this does not excuse payment, refund, or other obligations that applicable law does not permit us to exclude.
